Subscriber Agreement

What this means in plain English: This is the billing rulebook. Annual plans get a 30-day money-back guarantee. Monthly plans cancel any time, but no partial refund for the current month. The API tier is non-refundable. Cancel from Account → Billing in two clicks — no phone call, no save-the-customer chat.

This Subscriber Agreement is part of the Terms of Service. If anything here contradicts the Terms of Service, the Terms of Service win. Capitalised terms have the meaning given in the Terms of Service.

1. Plans and what they include

1.1. The Service is sold in five tiers: Free, Lite, Pro, Edge, and API. Tier features and the current price for each tier are on our pricing page. The pricing page is the source of truth — do not rely on screenshots, marketing emails, or third-party reviews.

1.2. Free is open-ended and free of charge. The Free tier carries delayed market data and a daily scan-count cap. Free users may upgrade at any time.

1.3. Lite, Pro, Edge, and API are paid tiers, billed monthly or annually. Annual billing is roughly 17% cheaper than 12 months of monthly billing.

1.4. We may change the features inside a tier. If a change reduces a paid feature you currently rely on, we will give you 30 days' notice by email and you may cancel for a pro-rated refund.

2. Free trials

2.1. We may offer a free trial of a paid tier. The trial details — length, eligibility, which features are open — are stated at sign-up.

2.2. To start a paid trial we may collect a payment method. We will not charge it until the trial ends.

2.3. Cancel before the trial ends if you do not want to be charged. You may cancel from the Account → Billing page or by emailing billing@ikaaycapital.com. Cancellation must be received before the trial expires. If you cancel after the trial converts to paid, the normal refund rules in section 5 apply.

2.4. One trial per person. We may decline a trial if we detect a previous trial under a different email or payment method.

3. Billing

3.1. Subscriptions are paid in advance, monthly or annually. The first charge runs at the end of the trial (if any), or immediately at sign-up. We process payments through Stripe.

3.2. Prices on the pricing page are stated in US dollars (USD) by default. We may also display Singapore dollars (SGD), British pounds (GBP), Indian rupees (INR), or Euros (EUR) on the pricing page using a current exchange rate. The actual currency you are charged in is shown on the Stripe checkout page; you will see the exact amount before you confirm.

3.3. You are responsible for any taxes that apply to your subscription, including any GST in Singapore, VAT in the UK or EU, and GST/IGST in India where applicable. When we are required to collect a tax, we will display it on the checkout and on your invoice.

3.4. Failed payments. If your payment method fails, we will retry up to four times over the next 14 days and notify you by email. After day 14 we may suspend access until you give us a working method. Restoring access does not extend your billing period.

4. Auto-renewal

4.1. All paid subscriptions auto-renew. Your subscription continues at the then-current price for the same interval (monthly or annual) until you cancel.

4.2. Before each annual renewal we send a reminder email at least 30 days in advance, stating the renewal price and how to cancel.

4.3. California residents (and other US states with similar laws): by enrolling in a paid plan, you acknowledge that your subscription continues until you cancel, and that we may charge the renewal price unless and until you cancel. You may cancel any time from the Account → Billing page or by emailing billing@ikaaycapital.com. We do not charge a cancellation fee. Cancellation takes effect at the end of the current billing period unless you ask for an immediate cancellation under section 5.

4.4. We comply with the California Automatic Renewal Law (Business & Professions Code §17600 et seq.) as amended in 2025. Specifically:

• We get affirmative consent to the auto-renewal terms at point of sale.
• The auto-renewal terms are presented clearly and conspicuously, in close visual proximity to the consent button.
• We send an acknowledgement after sign-up that recites the terms and the cancellation procedure.
• You can cancel exclusively online without contacting a human and without using a method any harder than the one used to subscribe.

We extend the same protections to all subscribers worldwide.

5. Refunds

5.1. Lite, Pro, and Edge — annual plans: 30-day money back. If you are not happy with an annual Lite, Pro, or Edge subscription, ask for a refund by emailing billing@ikaaycapital.com within 30 days of the first annual charge. We will refund the full amount paid for that annual term. After 30 days, annual plans are non-refundable for the rest of the term.

5.2. Lite, Pro, and Edge — monthly plans: cancel any time, prospective only. Monthly plans are non-refundable. You may cancel any time and you keep access through the end of the paid month.

5.3. API tier (S$999/month or annual equivalent). API tier is non-refundable in all cases because it carries committed compute and rate-limit headroom that we cannot recall. Cancel any time, prospective only.

5.4. Free tier. Nothing to refund.

5.5. Mid-term plan downgrades. If you downgrade an annual subscription mid-term, no refund is owed for the remaining time at the higher tier. The lower tier takes effect at the next renewal.

5.6. Mid-term plan upgrades. If you upgrade an annual subscription mid-term, we charge the prorated difference for the remainder of the term, calculated daily.

5.7. Chargebacks. If you start a chargeback or payment dispute through your card issuer or bank for a subscription that we have not refunded, we may suspend the account for the duration of the dispute. A chargeback by itself does not qualify you for a refund under section 5.1.

5.8. If your country's consumer-protection law gives you a longer or non-waivable refund right, that right wins. UK and EEA consumers, in particular, may have statutory cancellation rights for distance contracts that exceed the windows above.

6. Cancellation

6.1. You may cancel any subscription at any time:

• (a) from Account → Billing → Manage Subscription, in two clicks;
• (b) by emailing billing@ikaaycapital.com from the email on the account.

6.2. Cancellation takes effect at the end of the current billing period unless you ask for an immediate cancellation. If you ask for immediate cancellation and a refund is available under section 5, we will refund and revoke access on the same day.

6.3. We do not require a phone call. We do not require a "save call". We do not require a paragraph explaining why. The cancel button is the cancel button.

7. Plan limits and fair use

7.1. Each tier has quantitative limits — markets covered, daily scan count, watchlist size — published on the pricing page. The current limits are also enforced in code (see client_portal/billing/tier_limits.py for the canonical source).

7.2. API tier: rate limits. API access is rate-limited as published in our API documentation. Bursts above the published limits are best-effort. Sustained excess use, sharing API keys, or use that materially impacts other subscribers may result in throttling, key revocation, or, after notice, termination.

7.3. Watchlist alerts and email/Telegram delivery. Daily and weekly emails, Telegram bot pings, and webhook deliveries are subject to a fair-use policy. Egregious abuse (for example, configuring 1,000 alerts and a one-second poll on the API) may trigger a throttle.

8. Migration of legacy plans

8.1. Subscribers on the legacy "starter" plan have been migrated to "lite" with no price change and additional features. Subscribers on the legacy "professional" plan have been migrated to "pro" with no price change.

8.2. Migration was applied on 2026-04-28 and is reflected in the user database. If you believe your subscription was migrated incorrectly, contact billing@ikaaycapital.com within 30 days.

9. Promotions

9.1. From time to time we may offer discounts, founder pricing, partner codes, or annual prepay promotions. Each promotion has its own terms attached to the offer at point of sale.

9.2. Discounts apply only to the period stated. They do not roll over into the next renewal unless we explicitly say so.

9.3. Founder pricing, where offered, is locked for the renewal periods stated in the offer. After that period the subscription renews at the then-current standard price unless you cancel.

10. Changes to this Subscriber Agreement

10.1. We may amend this Subscriber Agreement. Material changes (refund window, auto-renewal, cancellation flow, fee changes) require 30 days' notice by email. Other changes are effective on posting.

Pattern provenance (for the lawyer review)

• Section 5.1 30-day annual refund: Motley Fool Epic ("If Epic isn't for you, cancel within 30 days and you'll receive every penny of your membership fee back. No questions asked.") and Stansberry equivalent.
• Section 5.2 monthly cancel-anytime: Composer / TradingView pattern; aligned with prevailing SaaS norm.
• Section 5.3 API non-refundable: Glassnode and Seeking Alpha "all sales final" model, narrower scope.
• Section 4.4 California ARL compliance: drafted to the post-July-2025 amendments. Affirmative consent + close visual proximity + acknowledgement + online cancellation are the four requirements. Lawyer must verify the consent UI implements them.
• Section 6.3 cancel-button-is-cancel-button: explicit response to FTC "click-to-cancel" rule trajectory and California three-click rule. Reads human; competitive with the FTC's stated direction even if the rule is in flux.
